1. Agreement to these Terms

1.1. These Terms of Use and Membership Terms (collectively, the “Terms”) constitute a binding agreement between you and CNB Cut, LLC (“CNB Cut,” “we,” “us,” or “our”), and govern (a) your access to and use of the website located at CNBcut.com, including any content, features, and services offered on or through it (the “Website”), and (b) your purchase, maintenance, and use of any CNB Cut Membership.

1.2. By accessing or using the Website, booking an appointment, or purchasing or maintaining a Membership, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Website or purchase a Membership.

2. Definitions

2.1. As used in these Terms:

  1. “Services” means the barbershop and grooming services offered by CNB Cut.
  2. “Membership” means any recurring CNB Cut membership plan, including the Gold and Elite plans, together with the benefits associated with the plan selected.
  3. “Member” means the individual in whose name a Membership is purchased.
  4. “Service Credit” means a Service included in a Member’s Membership plan for a given membership month.
  5. “Add-On” means any supplemental service included in, or purchased in addition to, a Membership plan.
  6. “Renewal Date” means the date on which a Membership renews for the following membership month.
  7. “Content” has the meaning given in Section 4.1.
  8. “No-Show” has the meaning given in Section 5.4.

3. Use of the Website

3.1. You may use the Website for lawful purposes only. You shall not use the Website in any manner that violates any applicable federal, state, local, or international law or regulation.

3.2. Without limiting the foregoing, you agree that you shall not:

  1. use the Website in any manner that could disable, overburden, damage, or impair the Website, or interfere with any other party’s use of the Website;
  2. attempt to gain unauthorized access to the Website, other accounts, computer systems, or networks connected to the Website;
  3. engage in any activity that could be considered harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
  4. upload or transmit any viruses, malware, or other harmful code; or
  5. collect or store personal data about other users of the Website without their consent.

4. Intellectual Property

4.1. All content on the Website, including text, graphics, logos, images, audio clips, video clips, software, and other materials (collectively, “Content”), is the property of CNB Cut, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

4.2. You shall not modify, reproduce, distribute, create derivative works or adaptations of, publicly display, or in any way exploit any Content without the express prior written consent of CNB Cut, LLC.

5. Appointments, Cancellations, and No-Shows

5.1. Appointments. The Website enables you to book appointments for Services. By booking an appointment, you agree to be bound by the cancellation and no-show policy set forth in this Section 5, which CNB Cut enforces in light of the high volume of its clientele.

5.2. Cancellation Notice. You must provide at least three (3) hours’ advance notice of the cancellation of any appointment. You may cancel an appointment through the online booking service or by telephoning CNB Cut. Failure to cancel an appointment in accordance with this Section 5.2 shall constitute a No-Show (as defined in Section 5.4).

5.3. Late Cancellation. If you cancel an appointment less than three (3) hours before its scheduled start time, you shall be charged the full price of the missed Service.

5.4. No-Shows. A “No-Show” occurs when you (a) fail to appear for a scheduled appointment, or (b) arrive more than fifteen (15) minutes after the scheduled start time of your appointment. In the event of a No-Show, you shall be charged the full price of the missed Service.

5.5. Payment Card on File. You agree that CNB Cut may collect your credit card information at the time of booking, and you authorize CNB Cut to charge such card for any fee due under Section 5.3 or Section 5.4.

5.6. Outstanding Balances. If you fail to cancel an appointment as required by Section 5.2, full payment for the missed appointment shall be due before you may receive any further Services.

5.7. Repeated Occurrences. If you repeatedly fail to cancel appointments or repeatedly incur No-Shows, CNB Cut may revoke your online booking privileges, in which case you may receive Services only on a walk-in basis, subject to availability and without any guarantee of service.

5.8. Right to Refuse Service. CNB Cut, LLC reserves the right to refuse service to anyone, for any reason, at any time, including, without limitation, any client who fails to appear for an appointment without the courtesy of advance cancellation or notice.

6. Membership Terms

6.1. Rollover of Service Credits. Any Service Credits not used during a membership month shall roll over to the immediately following month; provided, however, that Add-Ons shall not roll over.

6.2. Family Sharing. Membership benefits may be shared with members of the Member’s family.

6.3. Group Bookings. Members are entitled to a ten percent (10%) discount on peak Services booked as part of a group booking.

6.4. Fees Non-Refundable. All Membership fees are non-refundable.

6.5. Notice of Cancellation. A Member who wishes to cancel a Membership must notify CNB Cut prior to the Renewal Date.

7. Membership Cancellation

7.1. Upon cancellation of a Membership, the Member shall have three (3) months from the effective date of cancellation within which to use any remaining Service Credits.

7.2. Any Service Credits that remain unused upon the expiration of such three (3) month period shall expire and shall not be redeemable.

8. Membership Freeze

8.1. A Member may freeze a Membership for a period not to exceed three (3) months.

8.2. If the Member requires additional assistance, the Member must contact CNB Cut before the expiration of such three (3) month period.

8.3. If CNB Cut does not receive communication from the Member before the expiration of such three (3) month period, the Membership shall automatically unfreeze and resume upon the expiration of that period.

9. Disclaimer of Warranties

9.1. THE WEBSITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. CNB CUT, LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE WEBSITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE WEBSITE.

9.2. YOU EXPRESSLY AGREE THAT YOUR USE OF THE WEBSITE IS AT YOUR SOLE RISK.

10. Limitation of Liability

10.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CNB CUT, LLC SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE WEBSITE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

11. Modifications to these Terms

11.1. CNB Cut, LLC reserves the right to modify these Terms at any time. Any modification shall be effective immediately upon posting on the Website. Your continued use of the Website, or your continued maintenance of a Membership, following the posting of any modification constitutes your acceptance of the Terms as modified.

12. Governing Law and Jurisdiction

12.1. These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

13. General Provisions

13.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

13.2. No Waiver. The failure of CNB Cut to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3. Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.
